1. Acceptance Of Terms

FarEye Offers A Partner Portal Service (The “FarEye Partner Portal”) That Allows Its Partners To Register Certain Transaction Information, Participate In FarEye Opportunity Sharing, And Get Access To Approved And Business Sensitive Content From FarEye To Assist With Their Partnership Efforts.

BY ACCESSING AND USING THE FAREYE PARTNER PORTAL IN ANY MANNER, YOU AFTER READING AND UNDERSTANDING THE TERMS OF THE SERVICES, WILLFULLY ARE ACCEPTING AND AGREEING TO BE BOUND BY THESE TERMS OF SERVICE (THE “FAREYE PARTNER PORTAL TERMS”). IF YOU DO NOT UNCONDITIONALLY ACCEPT THE FAREYE PARTNER PORTAL TERMS IN THEIR ENTIRETY, YOU SHALL NOT (AND SHALL HAVE NO RIGHT TO) ACCESS OR USE THE FAREYE PARTNER PORTAL. IF THE FAREYE PARTNER PORTAL TERMS ARE CONSIDERED AN OFFER, ACCEPTANCE IS EXPRESSLY LIMITED TO SUCH TERMS. THE FAREYE PARTNER PORTAL TERMS SHOULD BE READ IN CONJUNCTION WITH FAREYE’S PRIVACY POLICY (https://www.fareye.com/information-security-policy) AND AS PER THE FAREYE COPYRIGHT POLICY.

Where We Write "FarEye", "We", "Us" Or “Our”, We Mean FarEye Technologies Private Limited And Its Affiliates. Where We Write “You” Or “Your”, We Mean You Personally As An Authorized User Of The Portal And Your Employer Or Principal.

2. Key Definitions

“FarEye Partner Portal” Means The Online FarEye Partner Portal Made Available At https://partner.fareye.com

“Partner-Submitted Content” Means All Information And Data (Including Text, Images, Photos, Videos, Audio, And Documents) Or Any Other Content In Any Media And Format That You, Directly Or Indirectly, Provide Or Make Available To Us In Connection With Your Use Of The FarEye Partner Portal.

“FarEye Content” Means Any Information, Resources Or Data (Including Text, Images, Photos, Videos, Audio, And Documents) Or Any Other Content In Any Media And Format That FarEye May Provide Or Make Available To You In Connection With Your Use Of The FarEye Partner Portal.

“FarEye Digital Service Partner Agreement” Means The Written Or Electronic Agreement Between You And FarEye, Including But Not Limited To Any FarEye Reseller Agreement, FarEye Referral Agreement, FarEye Reseller/Referral Agreement Or Other Independent Software Vendor Agreement Between You And FarEye.

3. Access

Access To The FarEye Partner Portal Is Determined By FarEye At Its Sole Discretion And FarEye May Temporarily Suspend Or Permanently Revoke Your Access To The FarEye Partner Portal For Any Reason, With Or Without Notice, At Any Time, Without Any Demure/Cost. If You Have Not Been Designated As The Administrator Of The FarEye Partner Portal For Your Organization (A "Super Admin"), Access To The FarEye Partner Portal May Also Be Determined By Your Organization's Super Admin, At Their Discretion.

4. Confidentiality

Any FarEye Content Marked As Available In The FarEye Partner Portal Is Confidential Information, Whether Marked As Confidential Or Not As Defined In Your FarEye Digital Service Partner Agreement And You Agree That You Shall Protect Such Content In Accordance With The Confidentiality Obligations Set Out In Your FarEye Digital Service Partner Agreement.

5. Acceptable Use

In Accessing And Using The FarEye Partner Portal, You Shall:

  • Be Responsible For Your Compliance With The FarEye Partner Portal Terms, FarEye’s Privacy Policy And Copyright Policy;
  • Be Solely Responsible For The Accuracy, Quality, Integrity, And Legality Of Partner-Submitted Content And Of The Means By Which You Acquire Or Generate Partner-Submitted Content;
  • Use Commercially Reasonable Efforts To Prevent Unauthorized Access To Or Use Of The FarEye Partner Portal, Including Keeping Passwords And Usernames Confidential And Not Permitting Any Third-Party To Access Or Use Your Username, Password, Or Account For The FarEye Partner Portal;
  • Be Solely Responsible And Liable For All Activity Conducted Through Your Account In Connection With The FarEye Partner Portal;
  • Promptly Notify FarEye If You Become Aware Of Or Reasonably Suspect Any Security Breach Relating In Any Way To The FarEye Partner Portal, Including Any Loss, Theft, Or Unauthorized Disclosure Or Use Of Your Username, Password, Or Account; And
  • Otherwise Access In Connection With Your Use Thereof, The FarEye Partner Portal Only In Accordance With Applicable Laws And Government Regulations.

You Must Not:

  • Use The FarEye Partner Portal To Store Or Transmit Any Content, Including Partner-Submitted Content, That May Be Infringing, Or Otherwise Tortious Or Unlawful, Including Any Content That May Violate Intellectual Property, Privacy, Rights Of Publicity, Or Other Laws;
  • Attempt To Gain Unauthorized Access To The FarEye Partner Portal, Or Related Systems Or Networks Or To Defeat, Avoid, Bypass, Remove, Deactivate, Or Otherwise Circumvent Any Software Protection Or Monitoring Mechanisms Of The FarEye Partner Portal; And
  • Authorize, Permit, Or Encourage Any Third-Party To Do Any Of The Above.

6. Intellectual Property Rights

Subject Only To Limited Rights To Access And Use The FarEye Partner Portal As Expressly Stated Herein, All Rights, Title And Interest In And To The FarEye Partner Portal And Any Information Contained Therein, Including But Not Limited To Partner-Submitted Content Uploaded By You To The FarEye Partner Portal, And All Related Intellectual Property Rights, Will Belong Exclusively To FarEye. For Clarity, You Hereby, At All Times, Absolutely And Irrevocably Assign To Us All Right, Title And Interest In And To The Partner-Submitted Content And Would Execute Any Documents, Deeds As May Be Required Under The Laws Of The Land To Give Effect To Above Understanding.

7. Term And Termination

Term. You Are Subject To These FarEye Partner Portal Terms Starting On The Date On Which You First Login To The FarEye Partner Portal, And Will Continue To Be Subject To These Terms Until The Termination, As Described Below.

Termination. We May Revoke Or Terminate Your Access To The FarEye Partner Portal Without Notice For Any Reason In Our Sole Discretion, Including But Not Limited To Your Violation Of These FarEye Partner Portal Terms. The Terms Also Co-Terminus Upon Termination Of Your Related Partner Agreement, Your Rights To The FarEye Partner Portal Will Automatically Terminate, And You Will Cease All Use Of The FarEye Partner Portal.

We Shall Not Be Liable For Any Cost, Damages, Demure Etc Towards Suspension/Termination Or Revocation Of Any Rights/Terms To The FarEye Partner Portal.

8. Other Important Terms

Modifications Of The FarEye Partner Portal And These FarEye Partner Portal Terms. We May Modify The FarEye Partner Portal And Your Access To It In Our Sole Discretion, And We May Change These FarEye Partner Portal Terms Or Any Portion Thereof From Time To Time In Our Sole Discretion. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO CEASE ALL USE OF THE PARTNER PORTAL. YOUR USE OF THE PARTNER PORTAL AFTER THE EFFECTIVE DATE OF CHANGES WILL BE DEEMED TO BE ACCEPTANCE OF SUCH CHANGES.
